• Ongoing support and maintenance

3. User Responsibilities

When using our services, you agree to:

• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

4.2 Client Intellectual Property

You retain all rights to your pre-existing intellectual property. For custom development work, ownership of the deliverables will be as specified in your project agreement. Generally, upon full payment, you will own the custom code and implementations we create specifically for you.

4.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to us may be used by Orris AI without any obligation to compensate you or maintain confidentiality.

5. Payment Terms

• Fixed Pricing: Our standard MVP development is offered at a fixed price of $10,000
• Payment Schedule: 50% deposit upon project commencement, 50% upon delivery
• Additional Services: Priced separately as agreed in writing
• Refund Policy: 100% money-back guarantee if we fail to deliver within the agreed timeline
• Late Payments: Subject to interest at 1.5% per month or the maximum permitted by law

6. Project Timeline and Delivery

We commit to delivering MVP projects within 4 weeks from project commencement. This timeline is subject to:

• Timely provision of necessary information and materials by the client
• Prompt feedback and approvals
• No significant scope changes after project commencement
• No force majeure events

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. We provide a 30-day bug fix warranty for delivered code.

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORRIS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Orris AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of these Terms.

11. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• You must pay for all services rendered up to the termination date
• We will deliver all completed work and work in progress
• Both parties will return or destroy confidential information
• Provisions that by their nature should survive will remain in effect

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
